TERMS AND CONDITIONS

These Terms and Conditions constitute a legally binding agreement between you and Prolific Business & Innovation Academy ("PBIAcademy") governing all access to and use of the Platform at www.pbia.com.ng. By accessing, registering, or purchasing on the Platform, you confirm that you have read, understood, and agree to be bound by these Terms.

1.  INTRODUCTION & ACCEPTANCE OF TERMS

Welcome to Prolific Business & Innovation Academy ("PBIAcademy," "we," "us," or "our"), an e-learning platform operated under the laws of the Federal Republic of Nigeria and serving learners, instructors, and organisations globally.

These Terms and Conditions ("Terms") constitute a legally binding agreement governing your access to and use of:

      The website at www.pbia.com.ng and all associated subdomains;

      All courses, digital content, learning materials, and assessments;

      Instructor and organisation dashboard services;

      Payment and checkout systems;

      Certification and credentialing services;

      Community forums, discussion boards, and messaging features;

      Mobile applications and any future services we may offer.

 

Important Notice

By accessing, registering, purchasing, or otherwise using the Platform in any way, you confirm that you have read, understood, and agree to be legally bound by these Terms. If you do not agree, you must immediately cease use of the Platform.

 

Users located outside Nigeria — including those in the United Kingdom, European Union, United States, Canada, or elsewhere — acknowledge that these Terms apply globally and that their use of the Platform is subject to both these Terms and any applicable laws of their own jurisdiction.

2.  DEFINITIONS

      Platform — www.pbia.com.ng and all related services, applications, and systems operated by PBIAcademy.

      User — Any individual or entity accessing or using the Platform in any capacity.

      Student — A User who enrols in or purchases access to one or more courses.

      Instructor — A User who creates, publishes, or manages course content on the Platform.

      Organisation — A corporate entity, institution, or group accessing the Platform under a business or enterprise account.

      Content — All courses, videos, audio, documents, graphics, assessments, source code, and other materials available through the Platform.

      Net Revenue — Total payment received by PBIAcademy after deduction of gateway fees, taxes, refunds, and chargebacks.

      Personal Data — Any information relating to an identified or identifiable natural person, as defined under the Nigeria Data Protection Act 2023 and GDPR where applicable.

3.  ELIGIBILITY & ACCOUNT REGISTRATION

3.1  Age Requirement

You must be at least 16 years of age to register an account. Users under 18 must have verifiable parental or guardian consent. We reserve the right to request proof of age and to terminate accounts found to be in breach of this provision.

3.2  Registration Accuracy

You agree to provide accurate, current, and complete information during registration and to keep your profile information updated at all times. Providing false information constitutes a breach of these Terms and may result in immediate account termination.

3.3  Account Security

You are solely responsible for maintaining the confidentiality of your login credentials. You agree to notify PBIAcademy immediately at info@pbia.com.ng if you become aware of any unauthorised access to your account. PBIAcademy will not be liable for any loss resulting from unauthorised use of your credentials.

3.4  Account Sharing Prohibition

Account credentials are issued to a single named individual and may not be shared, sold, transferred, or used concurrently by multiple persons. Organisation accounts must ensure access is limited to individually identified employees under their licensed allocation.

3.5  One Account Per Person

Each person may register only one individual account. Creating multiple accounts to circumvent suspensions, access restrictions, or refund policies is strictly prohibited and will result in permanent bans on all associated accounts.

4.  PLATFORM ACCESS & PERMITTED USE

4.1  Licence Grant

Subject to your compliance with these Terms and payment of applicable fees, PBIAcademy grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform for personal, non-commercial educational purposes only.

4.2  Prohibited Conduct

You must not, and must not attempt to:

      Download, copy, reproduce, distribute, or publicly display course content without written authorisation;

      Resell, sublicense, or commercialise access to any Platform Content;

      Record, screen-capture, or mirror any course sessions or live events;

      Circumvent, disable, or interfere with security features, DRM protections, or access controls;

      Reverse-engineer, decompile, or extract source code from Platform systems;

      Use automated bots, scrapers, or crawlers on the Platform;

      Upload, transmit, or distribute malware, viruses, or harmful code;

      Engage in fraudulent activity, impersonation, or misrepresentation;

      Violate any applicable local, national, or international law or regulation;

      Use the Platform for any purpose that is unlawful, harmful, defamatory, or abusive.

 

Enforcement

Violation of any prohibited conduct provision may result in immediate account suspension, revocation of course access, forfeiture of instructor earnings, and legal proceedings where applicable.

5.  COURSE ENROLMENT, ACCESS & COMPLETION

5.1  Enrolment

Course enrolment and access commence upon confirmed payment unless otherwise stated. PBIAcademy reserves the right to refuse enrolment at its sole discretion without providing reasons.

5.2  Access Duration

Unless a course listing specifies otherwise, enrolled Students receive lifetime access to purchased courses for as long as PBIAcademy continues to operate the course on the Platform. PBIAcademy does not guarantee that any specific course will remain available indefinitely.

5.3  Course Updates

Instructors may update course materials over time. PBIAcademy does not guarantee that course content will remain unchanged after enrolment. Significant restructuring will be communicated where practicable.

5.4  Prerequisites & Technical Requirements

Students are responsible for ensuring they meet all prerequisites, device specifications, and software requirements described in the course listing prior to purchase.

5.5  Certificates of Completion

Certificates are issued upon meeting completion criteria defined by the Instructor, typically a minimum score threshold and full module completion. See Section 12 for important accreditation disclaimers.

6.  PAYMENT TERMS & PRICING

6.1  Pricing & Currency

Course prices are displayed in Nigerian Naira (NGN) by default. International Users may be shown prices in their local currency where technically supported. PBIAcademy is not responsible for foreign exchange fluctuations or additional charges imposed by your bank or payment provider.

6.2  Payment Methods

Payments are processed through secure third-party payment gateways. PBIAcademy does not store full card details. By making payment, you also agree to the terms of the applicable payment processor.

6.3  Taxes

Prices displayed may or may not include applicable Value Added Tax (VAT) or other taxes. Users are responsible for any taxes, levies, or duties applicable in their jurisdiction. PBIAcademy will comply with Nigerian VAT obligations under FIRS regulations.

6.4  Promotional Pricing

PBIAcademy may offer discounts, promotional pricing, coupon codes, or bundled rates at its sole discretion. Promotional pricing is subject to availability and may be withdrawn at any time without notice.

7.  REFUND & CANCELLATION POLICY

7.1  General No-Refund Policy

All course purchases are final and non-refundable once payment has been confirmed and access has been granted. Students are strongly advised to review the full course description, curriculum, Instructor profile, level, prerequisites, and technical requirements thoroughly before completing payment.

 

No-Refund Policy

Completion of payment constitutes your unconditional and irrevocable acceptance of this no-refund policy. PBIAcademy will not issue refunds on the basis of dissatisfaction, change of mind, or partial use after access has commenced.

 

7.2  Limited Exceptions

A refund request will only be considered in the following circumstances:

      Duplicate payment confirmed by payment gateway records;

      Demonstrable billing error resulting in an incorrect charge;

      Course permanently removed from the Platform before the Student has accessed any content.

Refund requests must be submitted in writing to info@pbia.com.ng within 7 calendar days of the transaction date and must include transaction proof. All refund decisions are at the sole discretion of PBIAcademy and are final.

7.3  Instalment & Subscription Plans

Where courses are available on an instalment or subscription basis, the User remains liable for all outstanding instalments regardless of whether they continue accessing the course. Cancellation does not entitle the User to a refund of amounts already paid.

7.4  Chargebacks

Initiating a chargeback or payment dispute without first pursuing PBIAcademy's internal resolution process constitutes a breach of these Terms. Unauthorised chargebacks will result in: (a) immediate suspension of all accounts; (b) revocation of access to all purchased courses; (c) referral for legal recovery action; and (d) permanent ban from future registration.

8.  INSTRUCTOR & ORGANISATION TERMS

8.1  Instructor Eligibility

Individuals may apply to become Instructors through the Platform. PBIAcademy reserves the right to approve or reject applications without providing reasons. Instructor status may be revoked at any time for breach of these Terms.

8.2  Content Ownership & Licence

Instructors retain ownership of their original content. By publishing on the Platform, Instructors grant PBIAcademy a worldwide, non-exclusive, royalty-bearing licence to host, reproduce, encode, adapt, market, distribute, and promote the content through any medium for the duration of its availability on the Platform.

8.3  Content Standards

Instructors warrant that all submitted content is original or properly licensed; does not infringe third-party intellectual property; accurately reflects the Instructor's genuine qualifications; does not contain offensive, discriminatory, or illegal material; and complies with applicable Nigerian and international law.

8.4  Instructor Obligations

Instructors agree to respond to Student queries within a reasonable timeframe, maintain accurate and up-to-date course content, and not direct Students away from the Platform for commercial purposes during the term of their Instructor agreement.

8.5  Organisation Accounts

Organisation accounts are governed by these Terms plus any separate Enterprise Agreement. Organisations are responsible for ensuring all users under their account comply with these Terms. Enterprise terms will prevail over general terms where they conflict.

9.  REVENUE SHARING & PAYOUTS

9.1  Revenue Share

For all paid course sales processed through the Platform, revenue is distributed as follows:

60% of Net Revenue

40% of Net Revenue

 

9.2  Net Revenue Calculation

Net Revenue is calculated as the total payment received by PBIAcademy, less: payment gateway and transaction fees; applicable withholding taxes or VAT; refunds and chargeback costs; and any promotional discount amounts offered by PBIAcademy.

9.3  Payout Schedule

Instructor earnings will be paid according to the schedule communicated via their dashboard. PBIAcademy reserves the right to withhold payment pending investigation of fraud, chargebacks, or policy violations. A minimum balance threshold may apply before payouts are processed.

9.4  Pricing Authority

PBIAcademy retains the right to adjust pricing, apply promotional discounts, and bundle courses at its discretion. Revenue share calculations will apply to the actual net sale price after any adjustments.

9.5  Tax Responsibility

Instructors and Organisations are solely responsible for their own tax obligations arising from earnings received, including income tax, company income tax, and VAT where applicable under Nigerian or international law.

10.  INTELLECTUAL PROPERTY RIGHTS

All Platform technology, interface design, trademarks, logos, branding, source code, database structures, and proprietary methodologies are the exclusive intellectual property of PBIAcademy and are protected under applicable Nigerian and international intellectual property laws. Users may not, without prior written authorisation from PBIAcademy:

      Use the PBIAcademy name, logo, or trademarks in any commercial or promotional context;

      Reproduce, adapt, or distribute any PBIAcademy-owned Platform elements;

      Scrape, harvest, or systematically extract data from the Platform;

      Create derivative works based on Platform Content or technology.

11.  USER-GENERATED CONTENT & COMMUNITY RULES

11.1  Licence for User Content

By posting reviews, comments, forum contributions, or other user-generated content on the Platform, you grant PBIAcademy a worldwide, royalty-free, irrevocable licence to use, reproduce, adapt, publish, and display such content for Platform-related purposes.

11.2  Community Standards

Users must not post content that is defamatory, abusive, hateful, or discriminatory; contains sexually explicit or violent material; constitutes spam, unsolicited advertising, or phishing; violates third-party intellectual property or privacy rights; contains false or misleading information; or is illegal under Nigerian law or the laws of any applicable jurisdiction. PBIAcademy reserves the right to remove any content at its sole discretion without prior notice.

12.  CERTIFICATIONS & ACCREDITATION DISCLAIMER

Please Read Carefully

Certificates issued by PBIAcademy confirm course completion only. They do not constitute professional licensing, statutory qualification, or government accreditation unless explicitly and verifiably stated in the specific course listing.

 

Certificates of completion issued by PBIAcademy do not:

      Constitute professional licensing or statutory qualification under any regulatory body;

      Guarantee employment, salary levels, or professional advancement;

      Carry government accreditation unless explicitly stated in the course listing;

      Substitute for degrees or qualifications issued by accredited educational institutions.

Users should independently verify the recognition of any certificate with relevant employers or licensing authorities in their jurisdiction before relying on it for professional purposes.

13.  DATA PROTECTION & PRIVACY

PBIAcademy processes personal data in accordance with the Nigeria Data Protection Act 2023 (NDPA), the Nigeria Data Protection Regulation (NDPR) issued by NITDA, and — for Users in the European Economic Area and United Kingdom — the GDPR and UK GDPR respectively.

By using the Platform, you acknowledge and consent to the collection, processing, and use of your personal data as described in our Privacy Policy, which is incorporated into these Terms by reference and is available at www.pbia.com.ng/privacy-policy.

You have the right to access, correct, delete, or object to the processing of your personal data at any time. Direct all data rights requests to: info@pbia.com.ng.

14.  THIRD-PARTY SERVICES & LINKS

The Platform may contain links to third-party websites, payment processors, analytics tools, and communication services. PBIAcademy does not control, endorse, or accept responsibility for the content, privacy practices, or availability of any third-party service. Your use of third-party services is governed by their respective terms and policies.

15.  DISCLAIMERS & WARRANTIES

The Platform is provided on an "as is" and "as available" basis without warranties of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. PBIAcademy does not warrant that:

      The Platform will operate without interruption, error, or security breach;

      Course content will be error-free, up-to-date, or suitable for your specific needs;

      Completion of any course will result in specific career outcomes or income levels;

      The Platform will be compatible with all devices, browsers, or network configurations.

16.  LIMITATION OF LIABILITY

To the fullest extent permitted by applicable law, PBIAcademy, its directors, officers, employees, contractors, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages; loss of profits, business, revenue, data, or goodwill; claims arising from third-party course content; or Platform interruption not caused by PBIAcademy's gross negligence or wilful misconduct.

In all cases, PBIAcademy's aggregate liability to any User shall not exceed the total amount paid by that User to PBIAcademy in the twelve months immediately preceding the event giving rise to the claim.

Nothing in these Terms shall exclude liability for death, personal injury, or fraud caused by PBIAcademy's negligence, to the extent such exclusion is prohibited by law.

17.  INDEMNIFICATION

You agree to defend, indemnify, and hold harmless PBIAcademy and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from or related to: your violation of these Terms or any applicable law; infringement of any third-party rights; content you submit or transmit through the Platform; or any fraudulent activity conducted through your account.

18.  SUSPENSION & TERMINATION

18.1  By PBIAcademy

PBIAcademy may immediately suspend or permanently terminate your account, without prior notice, for any material breach of these Terms; fraudulent activity; persistent policy violations; harassment of other Users or staff; initiation of unauthorised chargebacks; copyright infringement; or actions that damage the reputation or operations of the Platform.

18.2  Consequences of Termination

Upon termination: (a) your licence to access the Platform and all course content is immediately revoked; (b) any outstanding Instructor earnings may be forfeited where termination is due to misconduct; (c) PBIAcademy reserves the right to retain records for legal compliance and anti-fraud purposes.

18.3  By the User

You may close your account at any time by contacting info@pbia.com.ng. Account closure does not entitle you to a refund of any amounts previously paid.

19.  DISPUTE RESOLUTION & GOVERNING LAW

19.1  Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, including the Companies and Allied Matters Act (CAMA) 2020, the Consumer Protection Act, the Nigeria Data Protection Act 2023, the Copyright Act, and other applicable Nigerian federal legislation.

19.2  Informal Resolution

In the event of any dispute, both parties agree to first attempt resolution through good-faith negotiation. Disputes must be raised in writing to info@pbia.com.ng within 30 days of the event giving rise to the dispute.

19.3  Mediation

If informal negotiation fails within 30 days, either party may refer the matter to a mutually agreed mediator or the Lagos Multi-Door Courthouse (LMDC) mediation service.

19.4  Arbitration

If mediation is unsuccessful, disputes shall be finally resolved by binding arbitration under the Arbitration and Conciliation Act (Cap A18, Laws of the Federation of Nigeria 2004). Arbitration shall be conducted in Lagos, Nigeria, in the English language.

19.5  International Users

Users outside Nigeria acknowledge that by using the Platform they are contracting under Nigerian law. Nothing in these Terms prevents PBIAcademy from seeking injunctive or emergency relief in any competent court of any jurisdiction.

19.6  Class Action Waiver

To the extent permitted by applicable law, Users waive any right to bring or participate in any class action, collective action, or representative proceeding arising from use of the Platform.

20.  FORCE MAJEURE

PBIAcademy shall not be liable for any failure or delay in performance caused by circumstances beyond its reasonable control, including acts of God, natural disasters, pandemic, war, civil unrest, government action, power failures, internet outages, cyberattacks, or third-party service provider failures. PBIAcademy will take reasonable steps to resume normal operations as soon as practicable.

21.  AMENDMENTS TO THESE TERMS

PBIAcademy reserves the right to modify these Terms at any time. When material changes are made, we will: (a) update the Effective Date at the top of this document; (b) notify registered Users by email or through an in-platform notification; and (c) provide a reasonable period for Users to review the updated Terms. Your continued use of the Platform after the effective date constitutes your acceptance of the updated Terms.

Governing Jurisdiction

These Terms are governed by the laws of the Federal Republic of Nigeria. For international users, all disputes are subject to Nigerian law and the arbitration process described in Section 19, except where local mandatory consumer protection laws provide otherwise.
